Please read these Terms of Service ("Terms") carefully before using the Giving Connect website and platform (the "Service") operated by Giving Connect ("Company," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or otherwise using our Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Giving Connect is an online platform that connects donors, nonprofits, and community partners to facilitate charitable giving and community support. The Service allows:

• Donors to discover where and how to donate items or resources
• Nonprofit organizations to communicate their real-time needs
• Community partners to coordinate and manage incoming donations
• All users to access information about community needs and giving opportunities

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to terminate accounts, refuse service, or remove content at our sole discretion.

4. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations. You agree not to:

• Post false, misleading, or fraudulent information about donation needs or offers
• Misrepresent your identity or affiliation with any organization
• Use the Service for any commercial purpose not expressly permitted by these Terms

5. Organization and Nonprofit Accounts

Organizations registering on the platform as nonprofits or community partners represent and warrant that:

• The organization is duly organized and in good standing under applicable law
• All information provided about the organization is accurate and current
• The organization has the authority to receive donations on behalf of its beneficiaries
• The organization will use donations in accordance with its stated mission and applicable law

We reserve the right to verify organization credentials and to remove any organization account that fails to meet our standards or that we reasonably believe is fraudulent or misrepresenting itself.

6. Donations and Transactions

Giving Connect facilitates connections between donors and organizations but does not process monetary donations directly unless expressly stated. For in-kind donations (goods and items):

• Giving Connect is not responsible for the condition, transfer, or receipt of donated items
• Donors and organizations are solely responsible for arranging and completing the transfer of items
• Giving Connect makes no warranties regarding the suitability or condition of donated items

We encourage all parties to confirm donation arrangements directly and to follow all applicable health, safety, and legal requirements when transferring items.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Giving Connect and are protected by applicable intellectual property laws. Our trademarks, logos, and service marks may not be used without prior written consent.

By submitting content to the Service (including organization profiles, donation listings, and communications), you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating and promoting the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIVING CONNECT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIVING CONNECT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the amounts paid by you to us in the twelve months preceding the claim, or (b) one hundred dollars (USD $100).

You agree to defend, indemnify, and hold harmless Giving Connect and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including sections on intellectual property, disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located within the United States, and you consent to the personal jurisdiction of such courts.
